Ankitha Bhati Design Studio ("the Studio") provides interior design consultation, detailed design and turnkey execution services based on site feasibility and the client's budget, culminating in an itemised quotation that forms an integral part of the project agreement.

Every quotation is valid for 30 days from its date and is subject to a potential variation of up to 10% in final order quantities on account of site measurements or material availability.

The client may modify the scope of work and the quotation prior to project sign-off. Any reduction or deletion of items shall not exceed 10% of the quotation value without the Studio's written agreement, on account of the impact on material procurement and design planning.

Upon confirmation of the quotation and payment of the booking instalment, the Studio commences detailed design, including space planning, 3D visualisation and material selection. Work proceeds to sign-off, production and site execution only after the client approves the design-finalisation quotation and pays the corresponding instalment.

Items, quantities, materials, finishes or specifications not expressly listed in the quotation are outside the scope of work and, if required, are treated as variations with a corresponding change in contract value and timelines.

Multiple orders/invoices may be raised for a single project (for example, one for modular products and a separate one for onsite services such as false ceiling or painting). Payments are processed with reference to each such order.

Depending on the nature, scope and location of the project, certain ancillary services (such as protective flooring/surface covering during execution and post-installation cleaning) may be mandatory and cannot be opted out of separately. Where a client declines floor/surface protection in writing, the client bears sole responsibility for any damage to flooring or surfaces arising during execution.

Project payments follow a staged milestone schedule communicated in the agreement: booking and design confirmation (5%), on finalisation of design (5%), on project sign-off before production (40%), before delivery of products to site (45%), and before handover (5%), each inclusive of applicable GST.

Each instalment becomes due upon the Studio's written intimation that the corresponding milestone has been reached, and is payable within 3 working days of such intimation unless otherwise agreed in writing.

All amounts paid and/or payable under the agreement are non-refundable, as products are custom-made and made-to-order to the client's specifications and professional design and execution capabilities are committed from the outset.

The design and consultation component of the contract value is additionally chargeable on any modification to the quotation, with a minimum design and consultation fee calculated on 90% of the value of the original quotation, regardless of any subsequent reduction in scope.

Any variation requested by the client may increase the contract value, and the handover date may be revised accordingly.

Payments must be made exclusively through the official channels communicated by the Studio — bank transfer, UPI or cheque to the account details provided by the Studio, or the UPI/QR details separately shared. Before making any payment, the client must ensure the payee name matches the account name communicated by the Studio. The Studio will never request payments to personal accounts.

Delay in payment of any instalment beyond 7 days of the due date entitles the Studio to suspend production, procurement or site work without liability for resultant delay, until the outstanding amount is cleared.

Supply of goods or services is subject to applicable taxes; GST or similar levies are charged additionally on each instalment at the rate applicable on the date of invoicing. The minimum project value for this payment structure is ₹4,00,000 (excluding GST).

Confirm and maintain valid possession of the project site and provide free and unrestricted access during working hours throughout execution.

Provide working electricity and water connections, loading/unloading and, where applicable, lift or service-lift access, and a designated secure storage area for materials and fittings.

Provide accurate information regarding the property, including any defects, and secure all permissions required from the building, society or association, including work permits and entry passes.

Permit the Studio and/or its representatives to photograph the site before, during and/or upon completion of the project.

Acknowledge that all 3D renders are illustrative and for reference only; the approved quotation and material specification alone govern the items, sizes, dimensions and finishes to be supplied.

Acknowledge that all products are custom-made and made-to-order, and that amounts paid are accordingly non-refundable.

Not directly or indirectly solicit, engage or approach any contractor, vendor, fabricator or site personnel deployed by the Studio for direct engagement, without routing the same through the Studio — any such direct engagement being at the client's sole risk.

Provide design conceptualisation, 3D visualisation and material selection in line with the client's brief and the agreed budget.

Assign a dedicated design point-of-contact during the design process, and a site supervisor / project manager during execution and installation.

Procure materials and execute work in accordance with the quotation and the agreed material specification.

Carry out quality checks prior to dispatch of manufactured items and again at the time of site installation.

Provide progress updates at each payment milestone, and prior written intimation before execution of any variation.

Ensure site personnel conduct themselves professionally, follow reasonable safety practices, and keep the site reasonably clean and secure during working hours.

Provide the warranty set out below and pass through applicable manufacturer warranties on hardware, fittings and branded components.

The indicative project timeline is 90 days from design freeze and receipt of the first instalment, structured broadly as: design process (30 days), production (30 days), and execution & installation (30 days).

Where the scope includes custom onsite carpentry, veneer finishes or other bespoke work, the timeline may vary; in such cases the Studio is entitled to a grace period of an additional 20 days, and the final handover date will be communicated in writing before project sign-off.

Any delay in the client's approvals, site access, or payment leads to a corresponding extension of the handover date, without constituting a breach by the Studio.

The Studio intimates the client when products are ready to be shipped or a service milestone is ready; the corresponding balance payment is due within 7 days of such intimation, failing which the handover timeline is revised accordingly.

If the client does not take handover within 30 days of dispatch-readiness notice, or where dispatch is delayed due to the client's payment default, warehousing charges of 0.25% of the contract value per week of delay apply, and the client bears the risk of loss, theft or damage during such storage.

"Handover" means the areas within the project on which the scope of work has been undertaken are functional and complete for their intended purpose. Minor snags (such as replacement of a part or functional unit, a delayed free-standing item, or minor finishing/electrical snags) do not affect this status so long as they do not impair functionality or practical use.

Workmanship warranty, measured from the date of handover: modular / factory-made work (kitchen carcass and shutters, factory-made wardrobes and storage units) — 10 years; custom / onsite carpentry (onsite carpentry, false ceiling, wall panels and cladding) — 5 years; services and finishes (electrical, plumbing, painting, loose furniture) — 3 years.

Applicable manufacturer warranties on hardware, fittings and branded components are passed through to the client, separately from and in addition to the workmanship warranty.

Warranty claims shall be raised in writing to contact@ab-designstudio.com, together with details of the product or service covered, the defect observed, and relevant photographs.

The warranty is effective only upon the Studio's receipt of the full contract value and a duly signed handover document; if any part of the contract value is withheld, warranty obligations stand suspended until the outstanding amount is cleared.

The warranty does not cover damage or defects arising from water leakage or seepage from the building structure, misuse, impact, pest or termite infestation attributable to site conditions, alteration by any third party, or building/structural movement. Except as expressly stated, services and works are provided "as is", and all other warranties, express or implied, are disclaimed to the fullest extent permitted by law.

All design concepts, 3D renders, drawings, mood boards and other creative material prepared by the Studio are the intellectual property of the Studio and constitute confidential information.

The client is granted a licence to use such material solely in connection with the project at the agreed site, and shall not reproduce, share or use it for any other property or purpose, or permit any third party to do so, without the Studio's prior written consent.

In the event of infringement, the Studio may terminate the agreement forthwith without being liable to refund any amounts already received.

The maximum liability of the Studio in respect of any and all claims arising out of or in connection with the project shall not exceed the amounts actually paid by the client for the specific product or service giving rise to the claim.

In no event shall the Studio be liable for any indirect, incidental, special, consequential or exemplary damages, including loss of rent, alternate accommodation costs, or loss of use.

The agreement automatically expires upon handover of the project, save for the provisions which by their nature are intended to survive (including payment terms, warranty, intellectual property, limitation of liability, force majeure, governing law and non-disparagement).

The Studio may terminate the agreement upon 15 days' written notice if the client is in default of any payment obligation, or is directly or indirectly involved in any act of discrimination or abuse, verbal or physical, against any person, contractor, vendor or employee deployed for the project.

In no event shall the Studio be liable to refund any amounts on such termination, this being a reasonable estimate of losses on account of committed procurement of customised products and costs already incurred.

Neither party is liable for any failure, delay or default in performance caused by circumstances beyond its reasonable control, including government-imposed restrictions or lockdowns, natural disaster, war, fire, flood, earthquake, embargo, strikes, pandemic or epidemic, riot or other force majeure events, provided the affected party notifies the other promptly and uses reasonable efforts to mitigate the delay.

The parties agree to renegotiate the scope of work on a good-faith basis if force majeure conditions continue for more than 15 days.

These terms and any project agreement are governed by and construed in accordance with the laws of India. The courts at Bengaluru, Karnataka shall have exclusive jurisdiction over all disputes arising therefrom.

Clients agree not to make any disparaging or defamatory comments regarding the Studio, its business or its personnel, whether orally, in writing, or through electronic or social media channels, concerning any aspect of the project or agreement, including any conduct or event connected with its termination or expiry.

Clients provide consent for the Studio and/or its representatives to photograph the site before, during and/or upon completion of the project, and agree that the Studio may use such photographs for its business or publicity purposes, including on its website, social media, portfolio and marketing, provided the Studio does not disclose the client's name or exact address without prior consent.

The project agreement, together with the quotation and its material specification annexure, constitutes the entire understanding between the parties and supersedes all prior discussions and correspondence.

No amendment is effective unless made in, or otherwise confirmed in, writing (including by email) by both parties.

If any provision is held invalid or unenforceable, the remainder of the terms remains valid and enforceable to the fullest extent permitted by law.

Any notice or communication under these terms shall be in writing and may be transmitted by electronic means (including email or messaging).
